(“Bold Labs,” the “Company,” “we,” “our,” or “us”), you are agreeing to be bound by these Terms of Service and our Privacy Policy (collectively, the “Terms”), all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. The materials contained in this Website are protected by applicable copyright and trademark law.

Our products and services include, without limitation, our Website, our services to provide users with comparative data on cross-chain swap and bridge rates from multiple decentralized exchange (DEX) aggregators, and software provided on or in connection with those services (collectively, the “Services”).

Please read these Terms carefully before you use the Website. By accessing, browsing, or otherwise using the Website you represent that: (i) you acknowledge that you have read, understand and agree to these Terms, (ii) you are of legal age to form a binding contract with Bold Labs, and (iii) you have the authority to enter into these Terms personally or on behalf of the entity you represent. If you do not agree to be bound by these Terms, you may not access or use the Website.

2. Eligibility

To be eligible to access the Website and use our Services, you must meet the following criteria:

• Access to the Website is only intended for adults eighteen (18) years of age and older. You are not allowed to use the Website if you are under eighteen (18) years of age.
• You represent that you have the full right, power, and authority to enter into and comply with these Terms on behalf of yourself and any company or legal entity for which you may access or use the Website.
• You further represent that you are not a citizen, resident, or member of any jurisdiction or group that is subject to economic sanctions by the United States, or where your use of the Website would be illegal or otherwise violate any applicable law.
• Your access and use of the Website will fully comply with all applicable laws and regulations, and you will not access or use the Website to conduct, promote, or otherwise facilitate any illegal activity.

3. Our Services

The Services are a Website that aggregates, compares, and displays swap and bridge quotes from multiple third-party DEX aggregators (including, but not limited to, Li.Fi/Jumper, Rango, Rubic, Symbiosis, and 1inch Fusion+). The Website is designed to help users find the best rates for cross-chain token swaps and bridges by querying these aggregators in parallel and presenting comparative results.

The Website is an informational comparison tool only. We do not execute swaps, hold funds, or act as a counterparty to any transaction. Any transactions you choose to execute based on information provided by our Services are conducted directly through the respective third-party aggregator platforms and are subject to their own terms and conditions.

4. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on the Website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license, you may not:

• Modify or copy the materials;
• Use the materials for any commercial purpose, or for any public display (commercial or non-commercial);

The risk associated with digital asset transactions is significant and may result in the permanent and total loss of value of your digital assets. Cross-chain swaps and bridges carry additional risks including, but not limited to, smart contract vulnerabilities, bridge exploits, slippage, and liquidity risks.

The legal and regulatory regime governing digital assets is uncertain, and new regulations or policies may materially adversely affect the development of the Services and the digital asset ecosystem.

Bold Labs makes no representation, guarantee, or warranty of the accuracy, completeness, or reliability of any quote, rate, or other data displayed on the Website.

6. Non-Custodial Nature

The Website is a non-custodial informational service. We never hold, control, or have access to your funds, private keys, mnemonic phrases, or any other access credentials. We do not execute transactions on your behalf. You are solely responsible for any transactions you choose to execute through third-party aggregator platforms based on information obtained from our Services.

The materials on the Website are provided on an “as is” or “as available” basis. Bold Labs makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, Bold Labs does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Website or otherwise relating to such materials or on any sites linked to this Website. Quote data displayed may be delayed, inaccurate, or unavailable at any time.

8. Limitations of Liability

In no event shall Bold Labs, its affiliates, service providers, officers, employees, or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, loss of digital assets, or due to business interruption), under any legal theory, arising out of the use or inability to use the materials on the Website, even if Bold Labs or a Bold Labs authorized representative has been notified orally or in writing of the possibility of such damage.

In no event will the collective liability of Bold Labs, its affiliates, service providers, officers, employees, or its suppliers to any party exceed one hundred U.S. dollars ($100).

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

9. No Class Proceedings

You and we agree that any party hereto may bring claims against the other on an individual basis only and not as a plaintiff or class member in any purported class or representative action or proceeding. You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:

14. Entire Agreement

The Terms and our Privacy Policy constitute the sole and entire agreement between you and Bold Labs with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States. Any dispute, controversy, or claim arising out of, or in relation to, your use of this Website or matters relating to these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules. The number of arbitrators shall be one.

16. Waiver and Severability

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
